The acquisition or supply of a system which is intended to meet the functional requirements of the customer exposes both the supplier(s) and customer to a wide range of risks.

The negotiation and documentation of projects of this kind calls for a detailed understanding of the functional requirements of the customer and many of the technical aspects of the proposed solution.

A large scale system acquisition is likely to involve issues relating to project management, hardware supply and maintenance, licensing and support of operating systems, databases and application software, and services including training, data conversion and implementation services.

We have represented vendors and customers in the negotiation and documentation of a large number of systems acquisitions. We have a sound knowledge of the complex matrix of risks and other factors which impact the successful implementation of a project

Recent Engagements

  • Negotiation and documentation of various agreements associated with a large scale SAP R/3 implementation across a variety of related companies and joint ventures at multiple sites including extensive software licence and implementation contract negotiations.
  • Acting on behalf of a Government agency involving negotiation and documentation of agreement with a multinational company. Project involves complex multi-site phased implementation. Approximate value of contract - $11 million.
  • Acting on System Acquisition Project including software modification and implementation services. Legal work included negotiation and documentation of agreement with a multinational company. Project involves six different software applications and three discrete business applications and a staged implementation at six sites. Approximate value of contract - $2.5 million.
  • Acting on Systems Integration Project including extensive implementation services - Approximate value of contract - $1 million. Legal work included negotiation and documentation of agreement on behalf of supplier.
